Terms of Service

The terms that govern access to Veratix Compass and related services.

These Terms are a starting draft for early development and testing. You should review with counsel before launching production billing.

1. Acceptance of these Terms

By accessing or using Veratix Compass (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and “you” includes the organization.

2. Who we are

“Veratix,” “we,” “us,” and “our” refer to Veratix, the company building the Operational Decision Intelligence (ODI) and ODIP platform and offering the Compass SaaS product.

3. Accounts, teams, and roles

  • Account owner / administrator: The user who creates a team (tenant) may be designated as the owner. Owners can invite members and manage roles.
  • Account security: You are responsible for safeguarding login credentials and for activity under your account.
  • Acceptable use: You agree not to misuse the Service, probe security, or access other customers’ data.

4. Subscriptions, billing, and trials

If you purchase a paid plan, you authorize us (and our payment processor) to charge applicable fees and taxes. Subscriptions renew automatically unless canceled in the billing portal.

  • Plan changes: Upgrades/downgrades may take effect immediately or at the next billing cycle, depending on plan.
  • Refunds: Except where required by law, fees are non-refundable.
  • Taxes: You are responsible for any applicable taxes, duties, or fees.

5. Your content and data

You retain ownership of the data you submit to the Service (“Customer Data”). You grant us a limited license to host, process, transmit, and display Customer Data only as necessary to provide and improve the Service.

We aim to separate customers (tenants) logically and, where applicable, with database row-level security and application controls. No system is perfect; you agree to promptly notify us of suspected security issues.

6. Confidentiality

If we exchange confidential information (for example, during onboarding or enterprise discussions), both parties agree to protect it using reasonable care and not disclose it except as needed to perform under these Terms.

7. Prohibited activities

  • Reverse engineering, decompiling, or attempting to discover source code (except where allowed by law).
  • Using the Service to violate laws, infringe rights, or distribute malware.
  • Accessing or attempting to access data belonging to other customers.
  • Overloading the Service or interfering with its operation.

8. Third-party services

The Service may integrate with third-party providers (for example, payment processors or authentication providers). Their terms may apply to your use of those services, and we are not responsible for third-party services outside our control.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERATIX WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO VERATIX FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

11. Suspension and termination

We may suspend or terminate access to the Service if you materially breach these Terms, if required by law, or to protect the security and integrity of the Service. You can cancel your subscription at any time via the billing portal.

12. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will provide notice (for example, by posting on this page). Your continued use of the Service after the effective date means you accept the updated Terms.
